Terms of Service for SerializeIt

1. Acceptance of Terms

By installing or using the SerializeIt app (“App”), you agree to be bound by these Terms of Service (“Terms”), which form a legal agreement between you (“you”, “your”) and TGProd (“we”, “us”, “our”). If you do not agree, do not install or use the App.

2. Description of the App

SerializeIt is a Shopify Admin App that enables store owners to serialize products, orders, and inventory within their Shopify store.

3. Eligibility

To use this App, you must:

  • Be at least 18 years old and capable of entering into a binding contract.
  • Operate a valid Shopify store and comply with Shopify’s terms of service.

4. Payments & Subscriptions

  • Fees: SerializeIt is offered on a subscription basis, with fees as described on our Shopify App Store listing and/or within the App.
  • Billing: Payments are processed through Shopify’s billing system. You authorize Shopify to charge your account for applicable fees according to the selected plan and billing cycle.
  • Changes to Fees: We reserve the right to modify our subscription fees or introduce new charges. If fees change, you will be notified in advance and have the opportunity to cancel before new charges apply.
  • Refunds: All fees are non-refundable except as required by law or under Shopify’s billing policies.

5. Your Responsibilities

  • Maintain accurate Shopify account information and keep your credentials secure.
  • Ensure your use of the App complies with all applicable laws, Shopify policies, and these Terms.
  • Back up your store data as needed. We are not responsible for data loss outside of our control.

6. Data & Privacy

  • By using the App, you grant us access to your Shopify store data as needed to provide the App’s functionality.
  • We handle your data in accordance with our Privacy Policy.
  • You retain ownership of your store data. We do not claim any rights to it beyond what is needed to operate the App.

7. Intellectual Property

  • SerializeIt, including all software, code, designs, and trademarks, is owned by us or our licensors.
  • You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely for operating your Shopify store in accordance with these Terms.

8. Prohibited Uses

You agree not to:

  • Use the App for any unlawful purpose or in violation of Shopify’s policies.
  • Attempt to reverse engineer, decompile, or otherwise access the App’s source code.
  • Interfere with the security, integrity, or performance of the App.

9. Disclaimer of Warranties

  • THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
  • WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

  • TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TGPROD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless TGProd and its directors, officers, employees, agents, suppliers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the App;
  • Your violation of any of these Terms;
  • Your violation of any applicable laws or regulations.

12. Termination

  • You may terminate this agreement at any time by uninstalling the App from your Shopify store.
  • We may suspend or terminate your access to the App if you violate these Terms or for any reason with reasonable notice.
  • Upon termination, all rights granted to you under these Terms will immediately cease.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the App will be resolved exclusively in the courts located in Delaware, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, via the App or by email). Continued use after such notice constitutes your acceptance of the updated Terms.
